kimbocorp may, from time to time, invite users to (a) refer prospective clients for a kimbocorp company plan, or (b) sell or introduce their own services in connection with a kimbocorp client relationship, and to earn a commission as set out below (the "programme"). The programme is separate from, and additional to, the main terms and conditions.
To participate and earn a commission, a person ("participant") must:
The commission rate is 20% of the amount actually received by kimbocorp in respect of the relevant activation fee or service fee, as applicable. Commission is one-time only - there is no recurring, renewal, or ongoing component, regardless of how long the referred client or service relationship continues.
Commission is earned and becomes payable at different points depending on the type of referral, as follows:
4.1 Company activation referrals. Where a participant refers a prospective client who takes up a kimbocorp company plan, commission is earned only once kimbocorp has actually secured a functional bank or EMI account for the referred company - i.e., once the banking guarantee outcome under clause 5.6 of the main terms and conditions has been met. Commission is not earned merely because the activation fee has been paid; if banking is never secured and a refund becomes due under clause 5.6 of the main terms, no commission is payable.
4.2 Own-service or other referrals. Where a participant refers, sells, or introduces their own service in connection with a kimbocorp client relationship, commission is earned upon kimbocorp's actual receipt of the relevant payment for that service.
4.3 Payout timing. Commission earned under clause 4.1 or 4.2 in a given calendar month is paid on the 20th or 21st day of the following calendar month, together with a statement showing the basis of calculation. There is no partial or early payout ahead of this cycle, save as affected by clause 4.5 (minimum payout threshold).
4.4 Payout method. The participant nominates a preferred payout method via the kimbocorp portal, from the following supported methods only:
No other payout method is supported. kimbocorp will pay commission using the nominated method, less any bank charges, transfer fees, or platform fees (e.g., PayPal's own processing fee) that kimbocorp itself incurs in making the payment.
4.5 Minimum payout threshold. No payout is made until the participant's accumulated, earned, and unpaid commission - pooling amounts earned under both clause 4.1 and clause 4.2 together - reaches SGD 400. Amounts below this threshold are not paid out but carry forward and accumulate toward the next payout cycle (per clause 4.3) until the threshold is met, at which point the full accumulated amount is paid.
4.6 Status tracking. kimbocorp tracks and updates the status of each participant's commission (e.g., pending, confirmed, scheduled, paid) via its own portal; status is not self-reported by the participant. kimbocorp will show the participant the amount expected to be paid and an estimated payout date. kimbocorp reserves the right to revise either - including delaying a payout - where circumstances change, including but not limited to a bank or EMI ultimately not supporting the account, or delay in confirming the trigger event under clause 4.1 or 4.2.
Where a payment giving rise to a commission is later refunded, reversed, or charged back for any reason (including under clause 5.6 or 5.7 of the main terms and conditions), no commission is payable in respect of it. Where commission has already been paid on a payment that is subsequently refunded, reversed, or charged back, kimbocorp reserves the right to deduct the amount from any future commission owed to the participant, or to invoice it directly.
Participation in the programme does not create an employment, partnership, agency, or joint venture relationship between kimbocorp and the participant. The participant is solely responsible for any tax obligations arising from commission received, and kimbocorp makes no representation as to the tax treatment of such payments.
The following will result in forfeiture of any commission otherwise due, and may result in removal from the programme:
kimbocorp reserves the right to amend, suspend, or discontinue the programme, or any individual participant's participation in it, at any time and without liability, including where kimbocorp reasonably suspects conduct under clause 7. Commission already earned (per clause 4) prior to any such change remains payable on the terms in place when it was earned.
This document applies in addition to kimbocorp's main terms and conditions. In the event of any conflict specifically concerning referral or commission mechanics, this document prevails; in all other respects, the main terms and conditions continue to apply, including to the participant's own company plan, if any.
